# Eligibility

> Who is eligible to buy, hold, or receive Ondo Private Markets notes.

Ondo Private Markets is available to qualifying non-U.S. persons only.

To buy, hold, or receive Ondo Private Markets notes, you must not be:

* A U.S. person, or located in the United States
* Located in any other blocked jurisdictions
* A sanctioned or otherwise Prohibited Person

Owning a Note does not, by itself, make you eligible for redemption claims. To receive a redemption payout, you'll need to complete the Issuer's claim process when the claim window opens, including KYC, non-U.S. person re-certification, sanctions screening, and acceptance of a claim agreement.

Other jurisdictional restrictions may apply.
