> FAQs on what Ondo Private Markets is and what you are buying.

  ### 1. What is Ondo Private Markets?

  Ondo Private Markets brings private-company exposure onchain. It gives eligible investors access to tokenized notes designed to provide economic exposure to leading private companies. Ondo Private Markets is built on the same institutional-grade infrastructure that powers other Ondo products, which lead tokenized equities and tokenized treasuries sectors, with over \$3.7 billion in TVL and more than 1 million cumulative holders.

  ### 2. What am I buying?

  A tokenized note, formally a Reference-Linked Note, issued by PM Issuer Co (BVI) Limited (the Issuer). The Issuer is not the Reference Company. The Note's value is calculated from the per-share value realized on the Reference Company's common shares.

  ### 3. Am I buying shares in the Reference Company?

  No. You're buying a tokenized Note which is a debt obligation of the Issuer, not the stock itself.

  You do not get:

  * Any shares in the Reference Company
  * Voting, dividend, information, or other shareholder rights
  * Any claim on the Reference Company or its assets

  The Reference Company has not sponsored, authorized, approved, endorsed, or participated in the notes, and has no obligations to holders.

  ### 4. How do I identify Ondo Private Markets assets?

  Ondo Private Markets assets follow the ticker nomenclature: "**\[Reference Company] Private Market Note**" with tickers ending in **Pon**. The "P" separates them from other Ondo Stocks that are publicly traded - for example AAPLon.

  Private companies don't have official tickers until they list. The ticker is Ondo's own designation and is not a prediction of the company's future ticker.

  ### 5. Can I buy notes in a primary offering?

  Primary offerings may be available through selected distribution partners and Ondo clients, starting with Ondo Private Client. Availability, subscription periods, minimums, allocations, and accepted stablecoins can differ by offering.
